Terms of Business
These Terms of Business set out the basis on which coaching, consultancy, mentoring, workshops, retreats and related services are provided by Noesis Coaching & Consulting. They are intended to ensure clarity and mutual understanding before any work begins.
About Noesis Coaching & Consulting
Noesis Coaching & Consulting is the independent practice of Stephen Parker.
The work of Noesis includes executive and leadership coaching, consultancy, mentoring, workshops, retreats and related professional services.
Initial conversation
An initial conversation, often described as a chemistry or discovery call, provides an opportunity to explore whether working together is appropriate. Unless otherwise stated, this conversation carries no obligation for either party to proceed.
Coaching engagements
Coaching normally takes place through a series of conversations, usually online, although sessions may also take place in person where practical. The number, frequency and duration of sessions will be agreed in advance and reviewed as appropriate throughout the engagement. Coaching is intended to support reflection, judgement and professional or personal development. It is not counselling, psychotherapy or medical treatment.
Consultancy, workshops and retreats
The scope, objectives, timetable and fees for consultancy, workshops, retreats or organisational development work will be agreed separately in writing before the work begins.
Fees and payment
Fees are agreed in advance and are payable in accordance with the invoice or written agreement. Invoices are normally payable within 14 days of commencement of the work unless an alternative arrangement has been agreed. Payment may be made by bank transfer or other agreed method.
Cancellations and rescheduling
If you need to rearrange an individual coaching session, please give at least 48 hours' notice wherever possible. Sessions cancelled with less than 48 hours' notice may be charged in full unless exceptional circumstances apply.
Should Noesis Coaching & Consulting need to rearrange a session, every reasonable effort will be made to offer an alternative appointment as soon as practicable.
Confidentiality
Confidentiality is fundamental to all coaching and consultancy work.
Information shared during coaching conversations will remain confidential except where:
• disclosure is required by law
• there is a serious concern regarding the safety or wellbeing of an individual or others
• disclosure has been agreed in advance with the client.
Where coaching is commissioned by an organisation, arrangements concerning confidentiality and reporting will be agreed at the outset of the engagement.
Professional boundaries
Clients remain responsible for the decisions they make and the actions they take following coaching or consultancy conversations. Noesis Coaching & Consulting does not guarantee particular outcomes, recognising that meaningful change depends upon many factors beyond the coaching relationship itself.
Intellectual property
Unless otherwise agreed in writing, the intellectual property rights in workshop materials, written resources, presentations and other original content produced by Noesis Coaching & Consulting remain the property of Stephen Parker.
Such material may not be reproduced, distributed or used for commercial purposes without prior written permission.
Data protection
Personal information is handled in accordance with the Noesis Coaching & Consulting Privacy Policy, which forms part of these Terms of Business.
Limitation of liability
Every reasonable effort is made to provide services of a high professional standard.
To the fullest extent permitted by law, Noesis Coaching & Consulting shall not be liable for indirect or consequential loss arising from the use of its services.
Nothing in these Terms limits liability where such limitation would be unlawful.
Governing law
These Terms of Business are governed by the laws of England and Wales.
Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
